European Stock Company (SE)

SE is an organizational form of an enterprise that carries out or plans to carry out business activities in the territory of the EU countries. There are several ways to form an SE: creating a parent company, merging a joint stock company in two or more EU countries, and also through transforming a national joint stock company into an SE. In the latter case, the head office in Germany must have a subsidiary in another EU country for two or more years.

SEs can create not only joint stock companies, but also limited liability companies.

Forms of ownership

For representatives of the first group in Germany, there are various types of organization of partnerships and companies. A corporate company acts as a legal entity. This means that the holder of rights and obligations is not each individual shareholder, but the enterprise itself. Joint-Stock Company

Joint stock company (Aktiengesellschaft, abbreviated as AG). This form is more typical for large companies. Such a company is a legal entity and has a three-level structure - a general meeting of shareholders, a board of directors and a supervisory board. Shareholders make decisions on the most important issues.

The Management Board carries out day-to-day management, convenes annual meetings of shareholders and reports quarterly to the Supervisory Board, which appoints the members of the Management Board and its Chairman. In turn, the supervisory board consists of representatives of shareholders, workers and employees of the company.

He exercises control over the board, coordinates major events, checks the company's property and, if necessary, convenes a meeting of shareholders.

A joint stock company as a legal entity has certain obligations. For example, it must publish financial statements annually.

The minimum number of its participants is five people, who may be legal entities. The board must include at least one person (he cannot be a legal entity).

The minimum composition of the supervisory board is three people, and they cannot simultaneously be members of the board. For companies with more than 500 employees, at least one third of the board members must be elected by a vote of the company's workers and employees.

The Law on Joint Stock Companies as amended in 1985 defines the minimum share capital at 50 thousand euros, of which 4/7 must be paid before filing for company registration. The nominal value of the shares is at least 50 euros.

To register a joint stock company in Germany, it is necessary to provide the company's charter (which indicates its name and location, the size and structure of the share capital, as well as the goals of the company), documents relating to the monetary contributions of participants to the capital of the company, a document confirming the approval of members of the supervisory board and the board, a certificate from the bank about the contribution of the required amount to the authorized capital, permission from government authorities (if required) and a certificate from the tax service about the payment of working capital tax.

Limited Liability Company

Limited liability company (Gesellschaft mit beschrankter Haftung, abbreviated GmbH). This is the most common form of society for hybrid partnerships, which are created with the participation of domestic capital. Such a company must be based in Germany.

Most entrepreneurs who open medium and small companies, as well as subsidiaries, choose the GmbH form, since it has a simpler registration system than a joint stock company, and at the same time has all the advantages of the latter. A limited liability company has legal status and all the rights and obligations that come with it.

Registration of a limited liability company will cost 1,500 euros.

In addition to the Trade Register, information about the company is provided to the Office for Business Supervision (Gewerbeaufsichtsrat), the Central Land Bank (this does not apply to companies with a capital of less than 5,000 euros), the local financial service (Finanzamt) and the social security authorities. The company must also become a member of the regional chamber of commerce.

Other forms of business organization common in Germany include the following types of partnerships.

General partnership

Partnership with unlimited liability (offene Handelsgesellschaft). All participants in such a company, without exception, are vested with full responsibility. This form of organization does not have legal status, although it has the same rights and benefits as legal entities. That is, such a company can file lawsuits, act as a defendant, and acquire ownership of property.

At the same time, it does not need to publish financial statements and register. Citizens of other states and various legal entities (except for owners and partners in other companies that are engaged in similar activities in Germany) can become members of such a partnership.

The number of participants in a general partnership and the size of their contributions are not limited. If one of the members leaves the partnership, this means the termination of his participation in it (unless otherwise specified in the agreement). Decisions are made by the participants of the partnership jointly, by general agreement.

Limited partnership

Limited partnership (abbreviated Kommanditgesellschaft, CoKG). This form of organization is not a legal entity. This means that it is not obligatory for it to publish reports. The liability of one or more partners (limited partners) to creditors is limited to the size of the contribution, and the liability of other members is not limited in any way (the so-called fully liable partners).

To form such a company, there must be at least two full limited partners. The rules, duties, and responsibilities of such an organization coincide with those that apply to a complete society.

CoKG members participate in all company income and expenses. However, they do not participate on the board, their names cannot appear in the name of the company, and they do not have the power to represent it, unlike general partners.

Corporate Partnership

Corporate partnership (abbreviated GmbH & Co.KG - combining the form of a limited liability company with elements of a limited partnership). This form of organization differs from a limited partnership in that the liability of limited partners (Kommandisten) is limited to their share of the capital of the partnership.

Essentially, this is a hybrid form of business organization that is suitable for entrepreneurs who want to reduce their own liability. At the same time, the company retains a certain flexibility. GmbH & Co.KG is ideal for small companies and family companies.

A corporate partnership is created by entering into a cooperative agreement between the general partner and limited partners. It must be entered in the commercial register and registered with the local trade office. To do this, all partners submit an application, which is certified by a notary. Taxation in Germany
