A power of attorney to receive goods and inventory items is usually drawn up in the field of entrepreneurship. However, such documents can also be drawn up between individuals in order, for example, to pick up purchased products from stores, warehouses, and bases.
How to write a document correctly
The power of attorney must have two signatures: from the one who entrusts the goods and the one who is entrusted with it.
There is no mandatory template for filling out such a power of attorney. Organizations can write this document in free form or develop a template at their discretion. The power of attorney can be issued either on the company’s letterhead or on a blank sheet of standard format.
When drawing up a power of attorney to receive goods, you must adhere to the recommendations and standards established for writing such papers by the rules of jurisprudence and office work, so that the document does not subsequently raise doubts among the interested party. Here you need to enter the personal data of the representative (according to the passport), as well as carefully and in detail specify all the functions that are assigned to the representative and the list of documents that he is authorized to sign.
In addition, it is necessary to indicate the period of validity of the power of attorney, which is not limited by law (i.e., a power of attorney can be issued for at least 10 or 100 years). In the absence of such information, the validity period of the document is automatically equal to one year from the date of its signing.

Do I need a power of attorney to receive goods and inventory items?
The law provides for the right of the subject of civil transactions to draw up this document to receive goods to protect the rights of the seller and buyer and their safety. The paper can be issued to both the buyer and the seller.
In particular, the act is necessary:
- When transferring valuables at the supplier's warehouse. The seller needs to check the authority of the arriving person who is entrusted to receive the goods.
- In case of receipt at the buyer’s territory, that is, delivery of inventory items.
- When neutral territory is selected for transmission. The meeting place, terms of transfer, payment are specified in the agreement between the buyer and seller in advance.
The document is drawn up for both an employee and a person from outside the state. If we are talking about an employee, then the list of his duties may include acceptance of goods. However, when receiving at the buyer's territory, a power of attorney will still be required.
If an employee is not a member of the management team, he is required to have an authorization document with him. This will confirm that the person is an employee of the company.
Acceptance by third parties requires an act of receipt of goods and materials, since they are not subject to financial liability. The correctness of the enterprise will be proven with the help of a power of attorney.

A document - a power of attorney for acceptance of goods will be required not only when receiving cargo from the supplier, but even when receiving it at the customer’s enterprise or on neutral territory.
The head of any organization in Russia that sells products uses a power of attorney form to accept the goods. It makes more sense to download a power of attorney for acceptance of goods and register the employee as your representative than to go to acceptance yourself. If there are no employees on the team who can be entrusted with this task, you can issue a power of attorney for the acceptance of goods to any other person (friend, brother, acquaintance) who is competent in this matter.
All this applies not only to companies, but also to individual entrepreneurs, but there are nuances.
Correctly filling out the power of attorney to receive the goods
The unified form requires filling out the required fields:
- Organization code and date of compilation.
- Validity.
- Information about the recipient and payer (name, legal address, TIN).
- Payer details.
- Information about the recipient, his passport details, position.
- Documents according to which the goods will be released (contract, invoice).
- Inventory items with marks on the quantity of goods, names and units of measurement.
- Quantity in words.
All lines must be completed. If any information is missing, a dash is added. If the document is drawn up by an individual, then there are no such strict requirements: a free form of preparation is sufficient.

How to fill it out correctly
Goskomstat provides a unified form of power of attorney for the issuance of goods M-2a and M-2, but it is worth considering that a legal organization can draw up a document according to its own standards. A large number of legal entities use ready-made document forms, which makes their work easier. Regardless of the drafting standards, the document must contain data such as:
- full name of the enterprise, which must match the documentation of the founder, TIN, address;
- position in the organization of an individual who is granted the right to sign documents;
- information about the person granting the right to sign to the employee;
- a list of actions that a representative can perform;
- expiration date of the document;
- sample signature of the principal.
At the time of drawing up a power of attorney, it is important to have all the necessary documentation with you; it is in the interests of both parties to draw up an agreement as soon as possible. Therefore, it is important to study the sample power of attorney for the delivery of goods before signing the document, so that during the process of filling it out, no questions arise about the contents of the document.
For how long is a power of attorney issued and who retains it?
The validity period is not a requirement. In accordance with the Civil Code of the Russian Federation (Article 186), a document that does not indicate the duration of the legal force of the act is considered to be issued for one year.
The countdown of the period begins from the date of preparation. Its absence means the document is null and void. Such paper, subject to other rules, does not create rights and obligations for either party.
There is no maximum or minimum validity period. Documents may be valid for a certain period, until a certain day or event. The authorization of a third party can be revoked before the expiration date.
The validity of the act within the framework of reassignment does not exceed the terms of the main document. If the latter is issued for a year, then upon its expiration both the initial and subsequent powers of attorney lose their legal force.
The certificate is kept by the supplier. It is transferred upon initial shipment. When the validity period expires, the paper is transferred to the organization’s accounting department.
How long is it valid?
The legislation does not limit the maximum period of delegation of powers; the individual entrepreneur sets it independently. The document is issued for a month, or for a year or several years - at the discretion of the businessman. If the power of attorney does not indicate its validity period, then it is assumed by default to be equal to one year from the date of issue. If there is no date of issue on the document, it is considered invalid.
Important! If the power of attorney has expired and the employee has not provided a report on it, the issuance of a new power of attorney is prohibited.
The power of attorney is also recognized as having no legal force until the expiration of the validity period for other reasons:
- availability of fixes;
- other violations of filling rules;
- the recipient does not have a passport or has a passport whose details do not match those specified in the power of attorney;
- lack of necessary information.
In these cases, suppliers do not ship inventory items to the bearer of the document.
